1. Agreement to Terms
These Terms & Conditions ("Terms") govern your access to and use of the Koodo AI website, services, and products, operated by Koodo Technology LLC-FZ ("Koodo," "we," "us," or "our"), a company registered in the United Arab Emirates, with its registered office at Office Suite 65, Level 9, Burjuman Business Tower, Al Mankool, Dubai, UAE. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. Our Services
Koodo provides artificial intelligence research and development, machine learning solutions, software engineering, e-invoicing solutions (Einvoize), and related technology services. Specific services may be subject to separate agreements or service-specific terms, which shall prevail where applicable.
3. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use our services. By using our services, you represent and warrant that you meet these requirements and that all information you provide to us is accurate, complete, and current.
4. Accounts & Registration
Where our products require account registration, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Intellectual Property
All content on our website, including but not limited to text, graphics, logos, software, source code, and documentation, is the property of Koodo or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works without our prior written consent.
6. Payments & Fees
Payments for our products and services are processed through secure third-party payment gateways, including Network International (NGenius) and other accredited payment service providers. All fees are quoted in UAE Dirhams (AED) unless stated otherwise. Fees may be subject to applicable taxes including VAT. By providing payment information, you authorize us to charge the applicable fees to your selected payment method.
7. Acceptable Use
You agree not to: (a) use our services for any unlawful purpose; (b) attempt to gain unauthorized access to our systems or other users' accounts; (c) interfere with or disrupt the integrity or performance of our services; (d) reverse engineer, decompile, or disassemble any part of our software; (e) use our services to transmit malware or harmful code; or (f) misrepresent your identity or affiliation.
8. Third-Party Services
Our services may integrate with or link to third-party platforms (e.g., Tally, Zoho Books, QuickBooks, payment gateways, government portals such as the Federal Tax Authority). We are not responsible for the content, functionality, or policies of third-party services. Your use of third-party services is subject to their respective terms and policies.
9. Disclaimers
Our services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. While we strive for accuracy and reliability, we do not warrant that our services will be uninterrupted, error-free, or that results will be accurate or reliable. Compliance with regulatory mandates (including tax and e-invoicing regulations) remains the responsibility of the user, and our tools are provided to assist with, not guarantee, compliance.
10. Limitation of Liability
To the maximum extent permitted by law, Koodo, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, our services. Our total aggregate liability shall not exceed the amounts you have paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Koodo and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use the services ceases immediately. Sections concerning intellectual property, disclaimers, limitation of liability, and indemnification shall survive termination.
13. Changes to These Terms
We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai.
